IMPORTANT NOTICE

This document is designed as a detailed working template for Solaurius. It should be reviewed by a qualified UK solicitor before publication, especially because Solaurius intends to accept advance payments for future services. Nothing in this document should be treated as formal legal advice.

The Solaurius Founder’s Token is intended to operate as a prepaid service credit / reward-based founder access product. It is not intended to be an investment, share, security, cryptoasset, deposit, loan, collective investment scheme, gambling product, or financial return arrangement.


PART A — FOUNDER’S TOKEN TERMS & CONDITIONS

1. INTRODUCTION

These Founder’s Token Terms and Conditions set out the terms on which a customer purchases a Solaurius Founder’s Token from [Insert legal company name], trading as Solaurius.

“Target Launch Date” means the date by which Solaurius aims to make the relevant services available.

“Opening Date” means the date on which Solaurius confirms that Token Credit may first be redeemed against eligible services.

“Project Non-Delivery” means circumstances where Solaurius is unable to provide the promised minimum eligible service within the timeframes described in these Terms.

“Consumer” means an individual purchasing for purposes wholly or mainly outside their trade, business, craft, or profession.


3. WHO WE ARE

Solaurius is a developing wellness and recovery project intended to provide structured services such as relaxation, restoration, therapeutic experiences, retreat-style environments, practitioner-led sessions, and other natural wellbeing services.

4. WHAT YOU ARE BUYING

When you purchase a Founder’s Token, you are buying a prepaid credit entitlement for future eligible Solaurius services.

Unless otherwise stated at the point of purchase:

The Founder’s Token is a service credit only. It does not give you ownership of Solaurius, any land, any building, any intellectual property, any company shares, any profits, any dividends, or any right to a financial return.


5. WHAT THE TOKEN IS NOT

The Founder’s Token is not:

  • A share or equity interest
  • A bond, debenture, loan note, or debt instrument
  • A deposit account
  • A regulated investment
  • A collective investment scheme
  • A cryptoasset intended for trading or speculation
  • A cryptocurrency
  • A financial promotion promising profit
  • A multi-level marketing opportunity
  • A pyramid scheme
  • A franchise
  • A business opportunity
  • A guarantee of future income
  • A guarantee of appreciation in value
  • A right to recruit others for financial gain

You must not describe, advertise, resell, or promote the Founder’s Token as an investment, income opportunity, profit opportunity, tradable asset, cryptoasset, speculative asset, or method of making money.


6. NO MANDATORY REFERRAL OR RECRUITMENT

You are not required to introduce, refer, recruit, invite, sponsor, or enrol any other person in order to purchase, keep, redeem, or benefit from your Founder’s Token.

Any referral reward offered by Solaurius is voluntary, optional, limited, and provided only as additional Solaurius service credit. Referral rewards do not create employment, agency, partnership, commission sales, multi-level marketing, or investment rights.

Solaurius may withdraw, amend, suspend, or refuse referral rewards at any time where necessary to protect legal compliance, consumer fairness, brand integrity, or operational sustainability.


7. TOKEN CREDIT VALUE

Your Token Credit may be used only against eligible Solaurius services.

The credit has no cash value except where a refund is expressly required under these Terms or by law.

Unless otherwise stated, Token Credit:

  • Cannot be exchanged for cash
  • Cannot be withdrawn
  • Cannot be used to buy shares or investments
  • Cannot be used for third-party services unless expressly approved
  • Cannot be split into cash and service redemption
  • Cannot be used after expiry
  • May be subject to booking availability
  • May not cover travel, accommodation, food, supplements, retail products, or third-party services unless expressly included

If VAT applies, Solaurius will account for VAT in accordance with applicable tax rules. The stated price should make clear whether it includes VAT.


8. FOUNDER BENEFITS AND PERKS

Founder benefits may include, depending on the offer purchased:

  • Priority booking access
  • Bonus service credit
  • Early access to pilot events
  • Invitations to founder-only updates
  • Limited founder recognition
  • Discounts on selected services
  • Transferable gift rights
  • Access to special founder communications

Founder perks are not guaranteed indefinitely unless expressly stated in writing. Solaurius may adapt founder perks where necessary due to legal, operational, safety, venue, practitioner, insurance, or commercial requirements.

Where a stated perk becomes unavailable, Solaurius may offer a reasonable alternative of similar nature or value.


9. TARGET LAUNCH AND PROJECT DEVELOPMENT

Solaurius is a developing project. The Founder’s Token is intended to support early-stage development, proof of concept, pilot services, pop-up experiences, partnerships, and eventual expansion.

The Target Launch Date for first eligible redemption is: [Insert month/year].

The full Sanctuary vision may be delivered in stages. Solaurius may initially provide services through:

10. REDEMPTION

Token Credit may be redeemed only after Solaurius confirms that redemption is open.

Redemption will be subject to:

  • Availability
  • Booking rules
  • Capacity limits
  • Practitioner availability
  • Location availability
  • Health and safety rules
  • Suitability screening where required
  • Any service-specific terms
  • Any age restrictions or medical suitability requirements
  • These Terms

Solaurius will explain the redemption process before or at the time redemption opens.

Redemption may be through a booking platform, member portal, email booking, voucher code, account credit, or other system chosen by Solaurius.


11. SUBJECT TO AVAILABILITY

All services are subject to availability.

Solaurius will take reasonable steps to make eligible services available for redemption. However, purchase of a Founder’s Token does not guarantee:

  • A specific date
  • A specific practitioner
  • A specific location
  • A specific room
  • A specific treatment
  • A specific retreat
  • A specific event
  • Unlimited access
  • Immediate access

If demand exceeds availability, Solaurius may use fair booking controls, including priority windows, waiting lists, booking limits, staggered release dates, or founder booking rounds.


12. EXPIRY

Unless otherwise stated at the point of purchase, the Founder’s Token expires [3 or 5] years from the Opening Date, not from the date of purchase.

Solaurius may extend expiry dates at its discretion.

The expiry date will be clearly communicated to Token Holders once the Opening Date is confirmed.

Expired Token Credit cannot be redeemed, transferred, refunded, or exchanged unless required by law or agreed by Solaurius in writing.


13. TRANSFERABILITY AND GIFTS

Founder’s Tokens are transferable, subject to these Terms.

You may gift or transfer your Founder’s Token to another person, provided that:

  • You notify Solaurius using the required transfer process
  • The recipient accepts these Terms
  • The token has not expired
  • The token has not already been fully redeemed
  • The transfer is not fraudulent, misleading, unlawful, or abusive
  • The transfer is not marketed as an investment or profit opportunity

Solaurius may refuse or reverse a transfer if it reasonably suspects fraud, misuse, money laundering, unlawful resale, misleading promotion, breach of these Terms, or reputational harm.

Solaurius is not responsible for private disputes between transferor and recipient.


14. RESALE RESTRICTIONS

You must not resell, advertise, or promote a Founder’s Token:

  • As an investment
  • Above face value without Solaurius’ written consent
  • Using misleading claims
  • Using unauthorised Solaurius branding
  • On secondary markets
  • Through auctions
  • Through crypto platforms
  • Through speculative trading platforms
  • In any way that suggests financial gain

Solaurius may cancel tokens involved in unlawful, misleading, speculative, or abusive resale activity.


15. REFERRAL CREDIT

Solaurius may choose to offer optional referral credit.

Referral credit, if offered:

  • Is voluntary
  • Is not required to participate
  • Is issued as Solaurius service credit only
  • Has no cash value
  • Is not commission unless expressly agreed in writing
  • Is not payable in money
  • Does not create employment or agency
  • May be capped
  • May be withdrawn or amended
  • May be subject to anti-abuse rules

No person is entitled to referral credit unless all stated referral conditions are satisfied.

Referral credit may be refused where Solaurius believes referrals were obtained using pressure, misleading claims, spam, financial promises, unauthorised advertising, or breach of law.


16. CANCELLATION RIGHTS — 14-DAY COOLING-OFF PERIOD

If you are a UK consumer buying online, by phone, email, payment link, or other distance method, you normally have a legal right to cancel within 14 days without giving a reason.

The cancellation period begins on the day after your purchase is completed.

To cancel, you must contact Solaurius at [Insert cancellation email] within the 14-day period and clearly state that you wish to cancel your Founder’s Token purchase.

If you validly cancel within the 14-day period, Solaurius will refund your original payment using the original payment method where possible.

Solaurius may provide a model cancellation form, but you do not have to use it.


17. EARLY REDEMPTION DURING COOLING-OFF PERIOD

If you ask Solaurius to provide or redeem services during the 14-day cooling-off period, your cancellation rights may be affected.

Where services have been partly or fully provided at your express request during the cancellation period, Solaurius may deduct an amount reflecting the services already supplied, where permitted by law.

If the token has been fully redeemed during the cooling-off period at your request, your right to cancel may be lost to the extent permitted by law.


18. REFUNDS AFTER THE COOLING-OFF PERIOD

After the 14-day cooling-off period, Founder’s Token purchases are generally non-refundable except where:

  • Solaurius fails to provide the promised eligible services within the non-delivery timeframe
  • Solaurius cancels the token without cause
  • A refund is required by law
  • Solaurius agrees to a refund in writing
  • The service supplied is not as described or is not provided with reasonable care and skill, and the law requires a remedy

Refunds are normally limited to the original purchase price paid, not the enhanced Token Credit value or bonus perks.


19. PROJECT NON-DELIVERY PROTECTION

Solaurius aims to operate transparently and fairly.

If Solaurius does not make any genuine eligible redemption service available by [insert longstop date, e.g. 12 months after Target Launch Date], Token Holders may request a refund of the original purchase price paid.

The following will not automatically count as Project Non-Delivery:

  • Change of venue
  • Staged launch
  • Pop-up launch instead of permanent site
  • Partner venue launch
  • Smaller initial service range
  • Delays caused by planning, licensing, supplier, construction, insurance, practitioner, or safety requirements
  • Service substitution where a reasonable alternative is provided

However, Solaurius will not use staged delivery or substitutions to avoid its obligation to provide genuine, redeemable service value.


20. DELAYS

Solaurius will keep Token Holders reasonably informed about significant delays.

Where delays occur, Solaurius may:

  • Extend redemption periods
  • Extend expiry dates
  • Offer alternative services
  • Offer pop-up redemption
  • Offer partner-based redemption
  • Offer refunds where required
  • Publish revised launch plans

Solaurius is not liable for disappointment, loss of opportunity, travel costs, accommodation, third-party expenses, or indirect losses caused by project delays unless required by law.


21. HEALTH, WELLNESS AND MEDICAL DISCLAIMER

Solaurius is a wellness, recovery, relaxation, and natural health environment. It is not a substitute for medical diagnosis, medical treatment, emergency care, psychological crisis support, or advice from a doctor or qualified healthcare professional.

Solaurius does not promise to cure, treat, prevent, diagnose, or reverse any disease, illness, injury, trauma, mental health condition, or medical condition.

Any information provided by Solaurius is for general wellbeing and educational purposes only.

You must seek medical advice before using Solaurius services if you:

  • Have a medical condition
  • Are pregnant or trying to conceive
  • Have heart, blood pressure, neurological, respiratory, immune, endocrine, psychiatric, or other significant health issues
  • Use medication
  • Have implanted medical devices
  • Have recent surgery or injury
  • Have a history of seizures, fainting, panic attacks, psychosis, or severe trauma responses
  • Are unsure whether a service is suitable for you

Solaurius may refuse, postpone, adapt, or cancel a booking where it reasonably believes a service may be unsuitable or unsafe.


22. SERVICE-SPECIFIC RISKS

Some Solaurius services may involve physical, sensory, emotional, environmental, or therapeutic intensity. Depending on the service, risks may include:

  • Dizziness
  • Fatigue
  • Emotional release
  • Discomfort
  • Temperature exposure
  • Light sensitivity
  • Sound sensitivity
  • Claustrophobia
  • Temporary symptom aggravation
  • Skin sensitivity
  • Dehydration
  • Muscle soreness
  • Anxiety responses
  • Unsuitability for certain medical conditions

Service-specific screening, consent forms, contraindication checks, or waivers may be required before participation.

Failure to disclose relevant health information may result in cancellation without refund where Solaurius has incurred costs or where non-disclosure creates safety risk.


23. AGE RESTRICTIONS

Founder’s Tokens may be purchased only by individuals aged 18 or over.

Services may have separate age restrictions. Some services may not be suitable for children or vulnerable adults.

Where minors are permitted, parental or guardian consent may be required.


24. BEHAVIOUR AND COMMUNITY STANDARDS

Solaurius is intended to be a safe, respectful, calm, and supportive environment.

You agree not to:

  • Harass, threaten, abuse, or discriminate against others
  • Behave aggressively or disruptively
  • Attend under the influence of alcohol or drugs
  • Record others without consent
  • Misuse spiritual, therapeutic, or community spaces
  • Make unauthorised commercial approaches to members
  • Promote financial schemes, recruitment schemes, or unrelated products
  • Breach confidentiality in group settings
  • Damage property
  • Ignore safety instructions

Solaurius may remove, suspend, or refuse service to anyone who breaches these standards.


25. MARKETING CLAIMS AND COMMUNITY SHARING

You may share your personal enthusiasm for Solaurius, but you must not make misleading or unauthorised claims.

You must not claim that Solaurius:

  • Guarantees healing
  • Guarantees medical results
  • Guarantees financial returns
  • Is an investment
  • Is risk-free
  • Is medically approved unless confirmed
  • Is regulated as a healthcare provider unless confirmed
  • Will definitely open at a specific site unless officially confirmed
  • Will produce guaranteed physical, emotional, or spiritual outcomes

Solaurius may require correction or removal of misleading public statements.


26. INTELLECTUAL PROPERTY

All Solaurius names, logos, designs, text, images, frameworks, service concepts, course materials, brand assets, website content, documentation, and community materials are owned by or licensed to Solaurius.

You may not copy, reproduce, sell, adapt, distribute, publish, or commercially exploit Solaurius intellectual property without written permission.

Founder status does not grant any intellectual property rights.


27. PHOTOGRAPHY, VIDEO AND TESTIMONIALS

Solaurius may invite Founders to provide testimonials, photographs, video content, interviews, or feedback.

We will seek appropriate consent before using identifiable personal content for marketing.

You may withdraw consent for future use, but withdrawal may not affect materials already lawfully published before withdrawal where removal is not reasonably practicable.

Separate media release forms may be used.


28. PAYMENTS

Payment must be made using approved payment methods.

Your purchase is not complete until Solaurius receives cleared funds and confirms your Founder’s Token.

Solaurius may refuse, reverse, or cancel payments where fraud, error, chargeback risk, sanctions risk, money laundering risk, technical failure, or breach of Terms is suspected.

You must provide accurate billing and contact information.


29. CHARGEBACKS AND PAYMENT DISPUTES

If you raise a chargeback or payment dispute without first contacting Solaurius, we may suspend your Founder’s Token while the dispute is investigated.

Fraudulent chargebacks may result in cancellation of token rights and recovery of costs where lawful.

Nothing in this clause limits your statutory rights.


30. TAX

You are responsible for any personal tax consequences arising from your purchase, transfer, gift, or resale of a Founder’s Token.

Solaurius is responsible for its own business tax obligations.

Where VAT applies, Solaurius will issue VAT invoices or receipts where required.


31. LIMITATION OF LIABILITY

Nothing in these Terms limits or excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Breach of statutory rights that cannot legally be excluded
  • Any other liability that cannot be excluded under law

Subject to the above, Solaurius’ total liability to you in connection with a Founder’s Token is limited to the amount you paid for that Founder’s Token.

Solaurius is not liable for:

  • Indirect losses
  • Loss of profit
  • Loss of business
  • Loss of opportunity
  • Loss of goodwill
  • Travel costs
  • Accommodation costs
  • Third-party expenses
  • Emotional disappointment
  • Speculative losses
  • Increase or decrease in perceived token value
  • Loss arising from your failure to read these Terms

32. FORCE MAJEURE

Solaurius is not responsible for failure or delay caused by events outside its reasonable control, including:

  • Fire, flood, storm, extreme weather, epidemic, pandemic, public health restrictions
  • War, terrorism, civil unrest, strikes, labour disputes
  • Planning delays, licensing delays, regulatory changes
  • Supplier failure, venue closure, construction delays
  • Utility failure, internet outage, cyber incident
  • Illness or unavailability of key practitioners
  • Government action or legal restriction

Where such events occur, Solaurius will take reasonable steps to minimise disruption.


33. TERMINATION OR CANCELLATION BY SOLAURIUS

Solaurius may cancel, suspend, or restrict a Founder’s Token where:

  • You breach these Terms
  • Payment is reversed or fraudulent
  • You misuse the token
  • You make misleading claims
  • You promote the token as an investment
  • You engage in abusive referral activity
  • You behave unsafely or unlawfully
  • You damage Solaurius’ reputation
  • Continuing the relationship would expose Solaurius to legal, regulatory, safety, or reputational risk

Where cancellation is due to serious breach, refund rights may be limited to the extent permitted by law.


34. CHANGES TO THESE TERMS

Solaurius may update these Terms from time to time.

Changes will not remove your core purchased Token Credit without lawful reason.

We may make changes to reflect:

  • Legal updates
  • Regulatory guidance
  • Operational changes
  • Service development
  • Payment provider requirements
  • Safety requirements
  • Tax treatment
  • Booking system changes

Material changes will be communicated where reasonably practicable.

You should not rely on any statement not included in these Terms unless confirmed by Solaurius in writing.

The Token Credit may be redeemed against eligible Solaurius services once redemption opens, subject to availability, suitability, booking rules, expiry, and the full Founder’s Token Terms and Conditions.

3. Cancellation
